1. Introduction
In accordance with Section 135 of the Companies Act, 2013, and the Companies (Corporate Social Responsibility Policy) Rules, 2014, Landmark Crafts Limited (hereinafter referred to as "the Company") is committed to carrying out its corporate social responsibility (CSR) activities in a manner that will benefit the society and contribute towards the welfare and development of various sectors. The Company policy is aimed at demonstrating care for the community through its focus on education & skill development, health & wellness and environmental sustainability including biodiversity, energy & water conservation. Also embedded in this objective is support to the disadvantaged/marginalized cross section of the society by providing opportunities to improve their quality of life aims to create value for society and its stakeholders through ethical business practices, sustainable operations, and responsible initiatives.
2. Objectives of the CSR Policy
The primary objectives of the CSR policy are:
- To ensure that CSR initiatives are aligned with the business strategy and core values of the Company
- To contribute towards the betterment of society, particularly focusing on health, education, environment, rural development, and economic inclusion.
- To create sustainable and positive social impact through responsible actions and support of community welfare programs.
- To comply with the requirements prescribed under Section 135 of the Companies Act, 2013, and relevant rules and regulations.
3. CSR Committee
In accordance with Section 135(1) of the Companies Act, 2013, the Company has constituted a CSR Committee comprising the following members:
- Mr. Chaman Lal Lidoo
- Mr. Pankaj Lidoo
The CSR Committee is responsible for the formulation and recommendation of the CSR Policy to the Board of Directors, monitoring the implementation of the policy, and reviewing the progress of CSR activities
4. CSR Activities
As per the provisions of Section 135 and Schedule VII of the Companies Act, 2013, the Company shall focus its CSR efforts in the following areas:
- (i) Eradicating hunger, poverty and malnutrition, promoting health care including preventive health care and sanitation and making available safe drinking water;
- (ii) Promoting education, including special education and employment enhancing vocation skills especially among children, woman, elderly, and the differently abled and livelihood enhancement projects;
- (iii) Promoting gender equality, empowering women, setting up homes and hostels for women and orphans, setting up old age homes, day care centres and such other facilities for senior citizens and measures for reducing inequalities faced by socially and economically back ward groups;
- (iv) Ensuring environmental sustainability, ecological balance, protection of flora and fauna, animal welfare, agro forestry, conversation of natural resources and maintaining quality of soil, air and water;
- (v) Protection of national heritage, art and culture including restoration of buildings and sites of historical importance and works of art; setting up public libraries; promotion and development of traditional arts and handicrafts;
- (vi) Measures for the benefit of armed forces veterans, war windows and their dependents;
- (vii) Training to promote rural sports, nationally recognized sports, Paralympic sports and Olympic sports;
- (viii) Contribution to the Prime Minister’s National Relief Fund or any other fund set up by the Central Government for social-economic development and relief and welfare of the Scheduled Castes, the Scheduled Tribes, other backward classes, minorities and women;
- (ix) Contributions or funds provided to technology incubators located within academic institutions which are approved by the Central Government;
- (x) Rural development projects;
- (xi) slum are development. Explanation. — For the purposes of this item, the term ‘slum area’ shall mean any area declared as such by the Central Government or any State Government or any other competent authority under any law for the time being in force.
- (xii) disaster management, including relief, rehabilitation and reconstruction activities.
CSR Contribution to Swachh Bharat Kosh
As part of Landmark Crafts Limited’s commitment to responsible corporate citizenship and in alignment with our core values of sustainability and social responsibility, the company has identified Swachh Bharat Kosh as an appropriate channel for supporting the nation’s relief and rehabilitation efforts.
The Swachh Bharat Kosh, launched by the Government of India, is a dedicated fund aimed at supporting initiatives to improve cleanliness and hygiene across the country. This initiative is integral to the realization of the Swachh Bharat Abhiyan (Clean India Mission), which seeks to promote sanitation, waste management, and cleanliness, contributing to a healthier and more sustainable environment for the citizens of India.
Objective of Contribution
Landmark Crafts Limited’s contribution to the Swachh Bharat Kosh is intended to:
- Support Hygiene and Sanitation Efforts: Through this initiative, we aim to help improve public health standards by providing funding for projects focused on sanitation infrastructure, especially in underserved areas.
- Aid in Relief and Rehabilitation: The company will direct its donations to help provide relief in areas affected by natural disasters or other emergencies, ensuring affected communities have access to clean water, sanitation, and other essential services.
- Promote a Cleaner and Greener Environment: Our contribution supports the government’s efforts to reduce open defecation, enhance waste management systems, and raise awareness about cleanliness in rural and urban areas.
- Encourage Community Participation: By contributing to the Swachh Bharat Kosh, Landmark Crafts Limited also encourages its stakeholders, employees, and partners to become active participants in the larger mission of creating a cleaner, healthier, and more sustainable India.
5. CSR Budget and Spending
- As per the provisions of Section 135(5) of the Companies Act, 2013, the Company shall allocate at least 2% of the average net profits of the preceding three financial years towards CSR activities.
- The CSR budget will be recommended by the CSR Committee and approved by the Board of Directors.
- The Company shall ensure that the allocated funds are spent in accordance with the CSR Policy and in line with Schedule VII of the Companies Act, 2013. Any unspent CSR amount will be dealt with in accordance with the provisions of the law.
6. Monitoring and Reporting
- The CSR Committee will monitor the progress of the CSR activities on a regular basis and report to the Board of Directors on an annual basis.
- The Board of Directors will disclose the CSR activities, including the amount spent and the details of the projects, in the Company's annual report as per the requirements of Section 135(2) of the Companies Act, 2013.
- The Company will also publish the CSR Policy and the CSR report on its official website.
7. Implementation and Governance
The CSR activities shall be implemented either directly by the Company or through eligible partners, such as non-governmental organizations (NGOs), trust, society, or any other institution with a proven track record of social development activities. The implementation process will be carried out in compliance with applicable laws, rules, and regulations.
The Company’s Board shall review the CSR Policy and its implementation at least once a year to ensure its effectiveness and compliance with the objectives.
8. Amendments to the Policy
This CSR Policy may be amended, modified, or revised from time to time as per the requirements of the law, regulations, or based on the recommendations of the CSR Committee. Any amendments to this policy will be approved by the Board of Directors.
9. Effective Date
Date of Commencement of CSR Compliance – 1st April’ 2019.
